These terms apply to all orders placed with Meridian Stitch Limited ("we", "us"), company number 17137738, registered office 167-169 Great Portland Street, London, W1W 5PF.
1. Quotes and Acceptance
All quotes are valid for 30 days unless otherwise stated. An order is confirmed only once we have received your written approval of both the quote and the visual proof. No production begins before this approval is given.
2. Artwork and Digitising
Where we digitise a logo or design for embroidery, the resulting digitised file (the "stitch file") is created for use in fulfilling your order with us. We retain ownership of stitch files we create. You retain ownership of your underlying logo, brand marks, and any artwork you supply to us. We will hold your stitch file on record to ensure consistency on repeat orders.
3. Pricing and Payment
Prices are quoted individually per order based on garment, quantity, and stitch count, and are payable in GBP. Meridian Stitch Limited is not currently VAT-registered; no VAT is charged on invoices. Payment terms will be confirmed at the point of quote. We reserve the right to require payment, or part-payment, in advance of production.
4. Changes and Cancellations
Changes requested after you have approved a quote and proof may incur additional charges and affect delivery timescales. Once production has started, orders cannot be cancelled. Orders cancelled prior to production may be subject to a charge to cover digitising and administrative costs already incurred.
5. Delivery
Delivery timescales will be confirmed at the point of quote and are estimates, not guaranteed dates, unless expressly agreed in writing.
6. Quality and Defects
We inspect all items before dispatch. If you believe an order does not match the approved specification, you must notify us within [X] days of receipt. We will remedy any genuine defect at our cost, by repair, replacement, or refund at our discretion.
7. Liability
Our liability for any order is limited to the value of that order. We are not liable for indirect or consequential losses. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, or for fraud, or any other liability that cannot be excluded by law.
8. Force Majeure
We are not liable for delay or failure to perform caused by circumstances beyond our reasonable control.
9. Governing Law
These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
